As joint representative of the noteholders of the Ekosem-Agrar bond 2019/24 (ISIN: DE000A2YNR08) and as designated joint representative of the Ekosem-Agrar bond 2012/2022 (ISIN: DE000A1R0RZ5) welcomes the e.Anleihe GmbH welcomes the countermotion of the noteholders’ advisory committee: "The issuer is making a good deal of concessions to the noteholders," says Christoph Chardon, Managing Director of e.Anleihe GmbH, summarizing the countermotion of the noteholders' advisory committee agreed with the issuer.

e.Anleihe GmbH points out that the entire lost interest on the interest to be reduced of 2.5 percent p.a. is now to be paid out at the end of the term in addition to the nominal repayment contribution. By extending the term of the bonds by five years in each case, the issuer is given the opportunity to reorganize its business operations in order to preserve and safeguard the assets for the bondholders. If the issuer is unable to fully utilize this period and repay before the extended maturity date, then the repayment amount will be reduced to the lost interest staggered over three years.

The countermotion also provides for the subordination of the bondholders to the interest rate of 2.5 percent p.a. to be converted into a deferral option by the Company. The Joint Representative and the members of the Advisory Board must each be consulted on this.

"In particular, we succeeded in defusing the contentious issue of a change of control in the event of a sale of the shares in the Russian operating companies, which cannot be ruled out," explains the managing director of e.Anleihe GmbH. Originally, the issuer had proposed that the bondholders should waive their early repayment option in this case. The countermotion of the noteholders' advisory committeenow proposes to increase the quorum for legally effective termination in the event of a change of control to at least 51 percent. "Should the issue of a change of control arise, the majority of bondholders will decide how to proceed specifically then," Chardon said.

For Tuesday, May 17, 2022, e.Anleihe GmbH invites from 11:00 a.m. to another information and discussion meeting of the bondholders.

The representatives of e.Anleihe GmbH will present and discuss their assessment of the current countermotion of the noteholders' advisory committee at the virtual event. "We will explain why e.Anleihe GmbH supports this proposal submitted by the advisory boards as a negotiation result," announced the managing director of e.Anleihe GmbH.

Enable quorum via proxies

The managing director of e.Anleihe GmbH, Christoph Chardon, reminds all bondholders that it is in their own best interest to protect their interests by means of powers of attorney.

Bondholders who are unable to attend the other bondholder meetings on May 30 and 31, 2022 in Sinsheim and who do not wish to be represented directly by the issuer may authorize the Chairman of the Management Board of KFM Deutsche Mittelstand AG, Hans-Jürgen Friedrich, free of charge. In addition, attorney Markus Kienle, member of the board of SdK Schutzgemeinschaft der Kapitalanleger e.V., is available in particular for private noteholders to exercise their voting rights free of charge.

Noteholders who wish to authorize Hans-Jürgen Friedrich free of charge to vote at the meetings on May 30 and 31, 2022, can obtain properly prepared forms at short notice via e.Anleihe GmbH as joint representative at the e-mail address ekosem@elsaesser.co. Noteholders who wish to authorize the representative of SdK can download the proxy form for the noteholders' meetings at https://sdk.org/leistungen/glaeubigervertretung/ekosem-agrar-ag/.

As the (designated) joint representative of the noteholders of the Ekosem-Agrar bonds, e.Anleihe GmbH also advises all noteholders, as a highly precautionary measure, to request current special proof of ownership of the bonds and the blocking notice required for the meetings from the respective custodian banks.
