HELMA Eigenheimbau AG: Arrangement imminent on reorganisation agreement to secure financing – capital increase with exclusion of subscription rights planned

Lehrte, 8 December 2023 - After weeks of negotiations, HELMA Eigenheimbau AG (ISIN: DE000A0EQ578 / WKN A0EQ57) is in advanced talks with the majority of its financing partners about a long-term and sustainable financing structure. The entire reorganisation agreement is expected to be concluded within the next few days.

The main shareholder is also convinced of the continued economic viability of HELMA Eigenheimbau AG and will support the planned reorganisation with additional equity of EUR 3.2 million. A capital increase with the exclusion of subscription rights is planned for this purpose. The shares of the other shareholders will be diluted accordingly. The inclusion of HELMA Eigenheimbau AG shares in the Scale segment is to be maintained.

In order to be able to react flexibly to future developments on the part of equity investors, authorised capital of up to EUR 3.6 million is also planned, which can also be issued to equity investors with the exclusion of subscription rights.

The implementation of the externally evaluated reorganisation concept will secure the financing of HELMA Eigenheimbau AG until the end of 2027 as per current corporate planning. It is to be implemented in accordance with the German Corporate Stabilisation and Restructuring Act. A corresponding notification of the restructuring project is to be made shortly.
